Terms of Service

CodeGateway is a jurisdiction-aware AI Gateway aggregating multiple AI model providers (including, without limitation, Anthropic Claude and OpenAI GPT), offering intelligent routing, usage analytics, telemetry, and cost optimization. We charge based on actual usage, denominated in US dollars. The selected AI model and the ultimate upstream provider may vary subject to compliance, availability, and content-moderation constraints, as further described in Section 4.

You must provide truthful and accurate registration information. You are fully responsible for your account security. Keep your API Keys confidential and do not share them with others. If you discover unauthorized use, notify us immediately. You must be at least 16 years old to use this service.

Sanctions and Export Control Eligibility. By using the Service, you represent and warrant that:

• You are not located in, organized under the laws of, or a resident of any country or territory subject to a comprehensive U.S. government embargo, including but not limited to Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, the so-called Donetsk People's Republic, and the so-called Luhansk People's Republic ("Sanctioned Regions");
• You are not on the U.S. Department of the Treasury's Office of Foreign Assets Control's Specially Designated Nationals and Blocked Persons List ("SDN List"), the U.S. Department of Commerce's Denied Persons List, the EU Consolidated List of Sanctions, or any equivalent list maintained by the United Nations or the United Kingdom;
• You are not owned, controlled by, or acting on behalf of any party described above;
• You will not use the Service in violation of any applicable export control or sanctions law, including the U.S. Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR).

We block requests from Sanctioned Regions at the network edge (HTTP 451) and may terminate accounts that violate this clause; balances forfeited under such termination are non-refundable.

You represent and warrant that:

• You are not located in mainland China (the People's Republic of China, excluding the Hong Kong SAR, the Macau SAR, and Taiwan) and will not access or use the Service from mainland China;
• You will not resell, relay, mirror, proxy, or otherwise make the Service available, in whole or in part, to any third party located in mainland China;
• You are not a legal entity incorporated in mainland China, with its principal place of business or tax residence in mainland China, and you are not acting on behalf of any such entity in your use of the Service.

We may rely on signals including, without limitation, IP address, account billing address, login device time zone, and the geographic origin of your payment instrument to determine whether this clause is breached. We reserve the right to suspend or terminate accounts for breach of this clause without prior notice; any unused balance on accounts terminated under this clause is handled per Section 5 (Refund Policy). Any misrepresentation in respect of this Section constitutes a material breach of these Terms.

Nothing in this Section affects your right to use the Service lawfully from the Hong Kong SAR, the Macau SAR, Taiwan, Singapore, Malaysia, or any other jurisdiction in which you, as an individual or a local entity, are eligible to do so.

• This service uses a pre-paid (top-up) model. You must top up before using the service; your balance pays for API call charges.
• Billing method: Actual API call token count × markup multiplier.
• All prices are displayed in US dollars (USD) and exclude VAT (Value Added Tax). Applicable VAT may be added at checkout depending on your region.
• Balance never expires and is non-transferable. Please refer to Section 5 for the refund policy.

VAT Registration Status: WHITEDIT LTD is not currently registered for UK VAT (VAT registration threshold: £90,000 rolling 12-month turnover). If we reach the registration threshold, we will register as required by law and notify users in advance; from that point, prices will be subject to applicable VAT.

Multi-Provider Routing Disclosure. CodeGateway accesses third-party AI models (including, without limitation, Anthropic Claude and OpenAI GPT) through Cloudflare AI Gateway. In rare cases of upstream provider unavailability or content moderation, your request may be routed to an equivalent model from a different provider; the response header X-Served-By identifies the actual upstream provider used for that request. Pricing displayed at checkout reflects the per-token rate of the model you select; if a different provider is used due to fallback, billing follows that provider's published rate, and is always disclosed transparently in your usage logs. Your use of the Service is concurrently subject to the terms of service of the relevant upstream AI model providers, including, without limitation, the Anthropic Business Terms, the OpenAI Usage Policies, and the OpenAI Service Terms. You are responsible for reading and complying with those upstream terms. Breach of an upstream provider's terms may cause your request to be rejected, filtered, or rate-limited by that upstream provider, and, in serious cases, may cause your account on the Service to be suspended or terminated. You acknowledge that the upstream AI model providers have final interpretive authority over their respective terms of service. Any loss arising from upstream service denial, filtering, rate-limiting, or termination of access due to your breach of upstream terms is borne solely by you, and CodeGateway shall have no liability in respect thereof.

Two ways to request a refund:

Option 1 — Self-service via Dashboard (recommended, processed instantly)

• Sign in at https://dashboard.codegateway.dev/en/overview/refunds
• Select the top-up payment, enter the refund amount and confirm
• Stripe processes the refund automatically and returns funds to your original payment method
• Note: to avoid billing conflicts, you must have made no API calls in the past 5 minutes; each top-up can be refunded only once

Option 2 — Email request (fallback)

• If self-service is unavailable, email support@codegateway.dev with your account info and top-up records
• We respond to email requests within 5 business days and complete the refund within 30 days

General rules:

• You may request a refund of unused balance at any time, with no time limitation.
• Token fees for services already consumed are non-refundable (the consumed portion will not be returned).
• Minimum refund threshold: USD 2.00 per refund request. Below this threshold, you may keep the balance (it never expires) or wait until it accumulates to USD 2.00. This threshold covers payment-processor fees and prevents refund failures.
• Refunds are returned to your original payment method, with processing time depending on the payment channel — typically 5–10 business days.

You must not use this service to:

• Violate any applicable laws or regulations
• Infringe upon others' intellectual property or other rights
• Generate, distribute illegal, harmful, or fraudulent content
• Conduct cyberattacks, spam, or abusive behavior
• Attempt to circumvent security controls or access others' accounts

Violations may result in account suspension or termination. Where your account is terminated for serious violations of these Terms:

• Fees for services already consumed (deducted token fees) are non-refundable;
• Any unused balance remains refundable under Section 5 (Refund Policy), subject to our right to deduct reasonable investigation and handling costs.

Sanctions Evasion Prohibition. You must not use the Service to evade U.S., U.K., E.U., or U.N. sanctions, to facilitate access by any party in a Sanctioned Region or on a sanctions list, or to relay, mirror, or otherwise distribute the Service's output to any such party. Attempts to circumvent the geo-block (including but not limited to use of VPN/Tor exits located outside Sanctioned Regions to mask a Sanctioned Region origin) constitute a material breach.

The Service delivers AI-generated output ("AI Output") to you by aggregating third-party AI model providers (including, without limitation, Anthropic and OpenAI). With respect to AI Output, you understand and agree that:

• User responsibility for output: You are solely responsible for the prompts you submit, the resulting AI Output, and any use, redistribution, or commercialization thereof, including compliance with the laws, regulations, intellectual-property rules, and privacy and data-protection requirements of your jurisdiction.
• Not professional advice: AI Output does not constitute, and should not be construed as, legal advice, medical advice, financial or investment advice, tax advice, psychological counseling, or any other advice that should be provided by a licensed professional. For matters involving such fields, consult a qualified professional.
• No accuracy guarantee: We make no express or implied warranty regarding the accuracy, completeness, timeliness, fitness, reliability, security, error-free or uninterrupted nature of AI Output. AI models may produce factual errors, outdated information, bias, inappropriate content, or so-called "hallucinated" output.
• User verification required: Before relying on AI Output in any context with legal, financial, health, safety, or other material consequences, you must independently verify its accuracy and applicability through qualified personnel.
• Not the position of the Service provider: AI Output is produced by third-party AI models and does not represent the views, opinions, policies, commitments, or endorsements of CodeGateway or any upstream AI model provider. The respective upstream provider's own disclaimers (including, without limitation, those in the Anthropic Business Terms and the OpenAI Usage Policies / Service Terms) apply in addition. You shall not cite AI Output in any manner that implies it reflects the position of the Service provider.
• Allocation of risk: To the maximum extent permitted by applicable law, any direct, indirect, incidental, special, or consequential loss arising from your use of AI Output shall be borne by you. This clause does not narrow the scope of Section 10 (Limitation of Liability).

• The CodeGateway name, logo, and visual design are trademarks and intellectual property of CodeGateway and may not be used without written permission.
• Anthropic, Claude, and related names are trademarks of Anthropic, PBC. CodeGateway is an independent third-party service and is not affiliated with, sponsored by, or endorsed by Anthropic.
• Other third-party names and trademarks mentioned are the property of their respective owners.

• We strive to keep the service continuously available but do not guarantee uninterrupted service.
• The service may be temporarily unavailable due to maintenance, third-party failures (e.g., Anthropic API outages), or force majeure.
• The service is provided "as is" without any express or implied warranties, including but not limited to merchantability and fitness for a particular purpose.
• We are not liable for any indirect, incidental, or special damages arising from the use or inability to use the service.

In no event shall CodeGateway's total liability to you exceed the total fees you actually paid to us in the 12 months preceding the dispute.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these Terms shall first be resolved through amicable negotiation. If negotiation fails, either party may submit to the exclusive jurisdiction of the courts of England and Wales.

For EU users: You may also bring proceedings before the courts of your country of residence and benefit from consumer protections provided by the laws of your country of residence.

We reserve the right to modify these Terms at any time. For significant changes, we will provide 30 days' advance notice via email or website notification. Continued use of the service constitutes acceptance of the modified Terms. If you do not agree with the modifications, please stop using the service and request a refund.

• You may delete your account and stop using the service at any time.
• We may suspend or terminate your account if you seriously violate these Terms.
• Upon account termination, your API Keys will be immediately deactivated, and any unused balance will be handled per the refund policy.
